Corporate Counsel

Corporate Counsel Candidate will be responsible for ensuring that the group's contracts, human resources, and relations with partners and vendors are best in class and continually optimized. Will establish strong relationships with the 40+ office and site managers, senior leaders and physicians and serve as the trusted resource for all levels of management for legal matters. Negotiate, draft, and review contracts and other legal documents, including real estate leases, property and asset acquisitions, purchasing, joint ventures, managed care, physician services, licenses and other intellectual property agreements, business associate agreements, academic affiliations, and financing documentation. Perform legal and factual research necessary to draft and analyze various contracts, policies, and other documents and to advise internal clients, primarily the CEO and President. Work in concert with outside professionals, especially outside counsel and outside accountants, to ensure that management receives the best possible actionable advice to support the company's clinical and business operations. Determine when legal and other related matters should be managed by in-house counsel versus using outside specialists. Provide counsel on health care laws including those on privacy, Medicare, Medicaid and other government programs, fraud and abuse, physician self-referral and anti-kickback laws, and EMTALA. Offer guidance on revenue cycle matters, including collection and third-party liability issues. Tender counsel on physician and medical staff matters, including compliance with operating agreements, shareholder agreements, bylaws, corrective actions, peer review, and disciplinary actions of medical or administrative staff. Provide advice for legal aspects of patient care with significant medico-legal dimensions, including informed consent, medical records/privacy issues, and patients rights issues. In collaboration with the company's management and compliance staff, continually update compliance policies and procedures and work closely with appropriate parties to resolve compliance concerns. Support the CEO, president, risk management committee and shareholders in management of claims. Assist in promoting efficiency of the legal department by preparing templates, forms, outlines, instructional materials, and other tools and resources. Advance their personal knowledge base in the legal, compliance, business and health care arenas by pursuing continuing education and personal credentials, looking to continually enhance opportunities for the Practice. Select, hire, manage and mentor appropriate legal support staff. Travel to physician, vendor, and outside counsel offices, hospitals, or other locations as necessary to support the above duties.

Qualifications: JD degree, admission to, and in good standing with the Florida Bar. 5+ years of relevant work experience. Experience in a rapidly growing mid- to large-sized corporate employer or in an established law firm is a significant plus. Employment in smaller law firms will be considered. Experience in drafting and negotiating a variety of agreements required. Experience in managing outside counsel relationships considered a significant plus. Healthcare industry knowledge and experience is highly desirable. Experience in human resources or staffing is also highly desirable. Microsoft Office productivity suite knowledge and capability is required. Strong interpersonal skills are required. An infectious and extremely positive attitude, be self-motivated and driven to succeed.
