Deputy General Counsel, Corporate, Securities & Compliance Responsibilities: Provide support to the General Counsel in all areas related to the Company's corporate and securities law matters and disclosure issues, including preparation of SEC registration statements; Form 10-K, 10-Q and 8-K; proxy statements; and Section 16 reports. Provide advice and develop, refine, and maintain policies and procedures relating to SEC, NYSE, and other regulatory requirements (including the Sarbanes-Oxley Act, Dodd-Frank Act, and NYSE listing standards); corporate governance matters; and executive compensation. Lead or assist in strategic transactions, including M&A and corporate finance transactions (e.g. preferred stock offerings, debt offerings). Assist in corporate secretarial functions, including preparation of Board and committee materials. Develop, initiate, maintain, and revise policies and procedures for the general operation of the Chegg's compliance program and its related activities to detect and deter illegal, unethical, or improper conduct. Assist in corporate formations and entity management. Oversee equity plan administration team. Recruit strategically and assist the legal team in scaling to align with the expanding needs of a rapidly growing international business. Develop, implement and improve legal procedures and policies to create a more efficient legal function. Collaborate with team leads cross-functionally across the business to mitigate legal risk and address strategic priorities.

Qualifications: JD Degree from an accredited U.S. law school and is an active member in good standing of a U.S. state bar (and eligible to register in California as in-house/single-client counsel). Experience advising C-suite, Board of Directors and executive level leaders on corporate securities, strategy, finance and M&A. Skilled, effective and empathetic manager who will cultivate professional growth and achievement among team members; effective verbal and written communication skills in all interactions with senior management, corporate departments and all levels of employees. Proven track record of effectively working cross-functionally and cross-culturally with partners at all levels. Excellent ability to collaborate with, motivate, and engage others. Specific counseling and transactional experience working in technology and consumer?oriented business a plus. Extraordinary analytical ability and advocacy skills; excellent written and oral communication and negotiation skills.
