SEC & Compliance Counsel Responsibilities: Reports to the General Counsel with primary responsibility for SEC reporting and compliance matters as well as supporting general corporate activities. Primary legal responsibility for SEC and NYSE reports and filings. Work closely with Finance and Investor Relations staff on securities issues, disclosure matters and external reporting. Prepare, review and file SEC reports and filings, including registration statements, proxy materials, annual, quarterly, and current reports, and Section 16 reports. Work with the General Counsel to support the Board of Directors, including Committee meetings, Board materials and minutes, and onboarding of new directors. Lead corporate compliance efforts focusing on data privacy, anti-trust, anti-kickback and similar requirements for a biotechnology company. Assist with general corporate matters, including governance, corporate policies and procedures, business development and equity programs. Oversee and manage outside legal counsel as appropriate. Qualifications: J.D. Degree. 3-6 years of in-house or large law firm experience handling general corporate and SEC matters. Extensive knowledge of federal securities regulations and NYSE listing requirements. Experience drafting SEC filings and managing the filing process. Strong project management, analytical, negotiation, communication, writing and organizational skills. High level of integrity, excellent judgment, analytical skills, and ability to identify relevant issues. Ability to respond to clients needs consistent with corporate strategies and objectives with a balanced appreciation and awareness of the legal/business interface. Ability to work on multiple tasks simultaneously in a dynamic work environment.
