Corporate Counsel, Contracts The candidate works on legal matters for the Corporation. Reviews and/or prepares business agreements and contracts. Provides counsel regarding collateral matters arising in connection with business transactions. Identifies and protects the business interests and objectives of the company, and minimizes the risk of loss or liability. Represents the company in judicial and administrative litigation communication with outside law firms. May manage Contracts and Insurance departments to review all contracts, bids, and contract-related services during contract performance. Participates and/or leads negotiations between the company and its client. Performs other related duties as assigned. Drafting, negotiating and interpreting a wide variety of general commercial agreements and related materials, including master services agreements, business process outsourcing agreements, statements of work, confidentiality agreements, SaaS and license agreements. Drafting, negotiating and interpreting commercial agreements across a broad spectrum of corporate business functions, including IT, travel, tax, insurance, finance and human resources. Collaborating with and managing cross-functional teams throughout contract review process, including internal and external counsel, and internal subject matter experts and business leaders. Providing rapid, practical, business-oriented contract advice directly to business clients. Assessing risk and applying problem-solving skills and practical business judgment to manage and reduce company risk. Establishing and maintaining standard contract forms and guidance materials. Assisting members of the corporate and legal teams on a broad range of matters. Must have Juris Doctor degree from an accredited law school plus 5 years of post-graduate corporate commercial contracts experience or demonstrated equivalency of experience and/or education. Should preferably have strong analytical, interpersonal, drafting, negotiation and written/verbal communication skills.
