Corporate Counsel The counsel will provide legal advice to the company and its subsidiaries on a variety of complex legal issues, including business operations, e-commerce, and complex transactions in support of strategic imperatives. Research, analyze and provide practical advice to business units on complex legal and compliance matters related to ongoing business operations, including tax return preparation and small business services. Provide legal counsel and guidance regarding complex transactions involving sophisticated counterparties and external service providers, including cloud/technology licenses, professional services agreements, and other strategic sourcing agreements. Assist with legal review and risk mitigation regarding all aspects of e-commerce including, online terms and notifications, identity verification and authentication, e-signatures, and arbitration. Work closely with the Deputy General Counsel, General Counsel, and other Company executives, to provide high level legal support on a variety of initiatives. Evaluate and respond to regulatory and other inquires, complaints and disputes. Monitor evolving laws that may impact the business or its products and services and assist with the implementation of compliant solutions. Coordinate efforts with internal clients as well as other internal and external attorneys, to provide legal advice regarding complex issues in connection with the Company's operations and strategic initiatives on a broad range of topics. Manage outside counsel to achieve timely and desired results within budget. Periodically assist with diverse high demand legal projects outside normal area of focus. The candidate must hold a Juris Doctorate degree and have license to practice law in one or more states with 5-10 years of corporate legal experience at a large law firm or corporate legal department. A current membership of the Missouri Bar or an ability to become a member of the Missouri Bar within six months required. Experience dealing with clients and external constituencies required. Significant experience providing legal advice on complex cloud technology agreements and working with and providing legal advice to senior executives is a plus. Possess strong business acumen and an eagerness to partner with internal business colleagues to solve business issues. Ability to plan and coordinate multiple projects and work initiatives at the same time needed. Effective oral, written and interpersonal communication skills required. Strong presentation skills necessary to communicate and persuade a wide range of audiences required. Ability to spot issues and recommend effective and creative solutions needed. Demonstrated analytical and problem-solving skills required.
