Director & Associate General Counsel Corporate Finance The candidate will provide legal support to Corporate Finance in connection with corporate and finance transactions. Support Corporate Transactions team in document drafting, review, and negotiation regarding a wide variety of the Company's corporate transactions and contractual relationships. Advise and act as a lead attorney to the Corporate Finance team in drafting, reviewing, and negotiating disclosure and transaction documents, and coordinating and managing the transaction process. Advise and provide legal support on loan or asset sales and acquisitions by drafting, reviewing, and negotiating the sale and servicing agreements. Provide general legal advice and support to Corporate Finance and Asset Management and Servicing teams regarding miscellaneous legal questions and requests. Engage with industry groups regarding developments in regulations and industry practices impacting the securitization market. Advise and support internal business teams in drafting, reviewing, and negotiating a wide variety of contracts, including information technology, outsourcing, professional services, and other vendor contracts, customer contracts (including federal, state, and local government contracts), and confidentiality agreements. The candidate must have a Juris Doctor (J.D.) from an accredited U.S. law school and membership in good standing in at least one State Bar with 6+ years of capital markets, securitization, or corporate experience in a law firm or corporate law department. Possess strong communication skills (both written and oral) for numerous types of audiences including both internal and external stakeholders. Excellent attention to detail and ability to manage the deal process, with the significant organizational, project, and program management skills required. The ability to collaborate and maintain strong working relationships with clients is required. The ability to provide consistent, high-quality legal analysis, advice, and document drafting is needed. Ability to work under pressure independently, as well as part of a team required. Be able to effectively supervise outside attorneys when directed by the CLO or senior attorneys. Adaptability to changing demands required. Possess strong legal/financial/business acumen and the ability to work effectively and multitask successfully in a fast-paced and complex business environment.
