Remote Senior Corporate Attorney The candidate advises the business and corporate development team on the early/re-deal activities, such as assessing preliminary targets, identifying options for deal structures, early detection of risks, advising on antitrust and developing process strategy. Advises on transaction activities such as due diligence, bid process, documentation, negotiation, regulatory revise and other activities. Consult and handle all corporate legal processes (intellectual property, mergers and acquisitions, financial/securities offerings, compliance issues, transactions, agreements, lawsuits, patents). Develop company policy and position on legal issues. Research, anticipate and guard company against legal risks. Guide managers and ensure compliance with rules and regulations. Structure, draft and review reports and other legal documents. Represent company in legal proceedings (administrative boards, court trials etc.). Draft and administer all contracts. Negotiate deals and attend company meetings.

The candidate should have a JD Degree. Must have 10+ years of proven background in corporate law (contract law, tax law, accounting, securities law, bankruptcy, intellectual property rights, licensing, zoning laws). Should have proven experience with mergers and acquisition transactions. Proven comparable law firm experience needed. Current license to practice law essential. Excellent negotiation and communications skills needed. Should have administrative and managerial skills. Computer skills needed. Should have a strong background in Merger and Acquisition transactions including diligence, schedules and credit documentation and would provide advice on entity formation, corporate governance matters equity compensation and strategies, and securities law compliance.
