Corporate and Transactional Associate - Attorney The candidate will provide ongoing support to the day to day responsibilities of General Counsel, which include not only helping driving company's strategic vision for growth and the future, but executing on the M&A strategy, serving the company's day to day legal needs including advising the organization, CEO and Board of Managers on matters. Assist with M&A strategy, with a primary responsibility for overseeing due diligence as part of company's in-house M&A team. Transactional document related review, negotiation and drafting at direction of General Counsel. Helping develop and maintaining company's overall commercial contract regime, at the General Counsel's direction, and working with a contract administration to ensure easy digital access to contract, for better operational leverage. Track and maintain entity status and good standing, including drafting and filing Annual Reports, Statements of Change, Articles of Amendment, etc. Draft and file various regulatory documents for corporations, limited liability companies, joint ventures and various other entities. Collaboration with Sales Operations department on contract management by maintaining and auditing a central contract-resource file. Readiness to be trained on and take on a unique variety of matters and filings. Lead and support various ad hoc projects within the Legal department, as needed.

The candidate must have JD degree from an ABA-accredited U.S. law school, and active member of the bar of a U.S. jurisdiction. Must have 3-5 years of corporate law firm or in-house counsel experience mergers and acquisitions, commercial contract drafting, and general corporate law. Must have strategic thinker, self-motivated, team player, with ability to act independently and to coordinate projects among multiple stakeholders. Must have strong negotiation skills and communication skills (oral and written). Must have demonstrated competency in reviewing, negotiation and drafting transactional corporate and commercial documents. Must have assist General Counsel on selecting a contract management platform to better leverage commercial terms of contracts developed, drafted and maintained by the Legal Department, including assisting in the selection of contract administration platform, and training members of legal department and company organization on use of same. Must be proficient with Microsoft Office programs, including Word, Outlook, Excel, and PowerPoint. Must have strong multi-tasking and prioritizing skills with the ability to meet deadlines. Excellent written and verbal communication skills are required.
