Corporate Counsel The candidate will draft and negotiate the following types of contracts for various business units: In-bound and out-bound technology license agreements (e.g., software license agreements, IP core license agreements); in-bound and out-bound commercial contracts (e.g., supply/manufacturing agreements, sales and purchase agreements); joint development/technology collaboration agreements; and in-bound and out-bound patent license agreements. Manage the overall transaction process and collaborate with other legal team members and business partners. Continuous evaluation and improvement of related business processes and legal templates. Other general corporate matters and special projects from time to time. Report to the company's Vice President and Deputy General Counsel for IP Licensing and Commercial Transactions.

The candidate should have exceptional academic credentials and Membership of the California State Bar with 5 years of relevant contract negotiation and drafting legal experience at a top-tier law firm and/or as an in-house attorney. Experience negotiating and drafting commercial contracts and technology license agreements required. Prior in-house experience with a public company and/or experience working in semiconductor or related industries preferred. Patent litigation and patent licensing experience are a plus. Must possess strong contract drafting skills. Demonstrated expertise in intellectual property law and associated best practices required. Ability to effectively work with internal and geographically dispersed business partners at various levels of management and advise them of legal risks and benefits posed by potential transactions needed. Should be able to effectively negotiate in a collaborative manner with geographically dispersed counterparties. Strong legal analysis skills with the ability to integrate legal advice and business knowledge, and the ability to provide balanced advice regarding risks and benefits required. Excellent strategic, organizational, presentation, and counseling skills, with the ability to follow through on numerous projects simultaneously under deadline pressure needed.
