Corporate Counsel

Corporate Counsel Duties: Negotiate, draft and review commercial contracts, including services and consulting agreements, non-disclosure agreements, vendor agreements, joint venture agreements, subconsultant agreements, construction agreements, government contracts and leases. Assist with litigation management, alternative dispute resolution processes, and insurance coverage matters. Conduct and/or coordinate analyses of business function processes and policies against governing laws and regulations to determine gaps in compliance and help draft and review appropriate policies and procedures. Proactively identify, review and monitor applicable laws and regulations affecting employment law, construction law, federal privacy and data security laws, and all similar/related state and local laws and regulations. Assist in the development of training regarding laws and regulations that impact the Company. Assist in oversight of the Company's contract and vendor management programs to ensure internal compliance and that third party vendors comply with contractual requirements, and privacy and data security laws. Assist, conduct and/or coordinate investigations involving potential employment and litigation matters and determine/pursue actions needed to resolve such matters in the most cost-effective and otherwise Company-preferred manner. Provide analysis and legal advice on general corporate matters, including licensing and registrations. Assist in identifying, developing and implementing processes and technological changes to increase the efficiency of the Company's Legal Department.

Qualifications: JD Degree from an ABA-accredited law school required. Pennsylvania Bar Admission or the ability to be granted a Limited In-House Corporate Counsel License pursuant to Rule 302 of the Pennsylvania Bar Admission Rules required. New York and/or New Jersey Bar Admission a plus. Experience working with a public company a plus. Experience with contract/vendor management programs or processes preferred; and Human resource and employment law experience; General corporate law experience; Experience negotiating, drafting, reviewing and enforcing contracts; Insurance coverage experience; Litigation and Alternative Dispute Resolution (ADR) experience; Knowledge and experience in the construction industry; 5-7 years of experience as a practicing attorney, either in-house, or at a top law firm. Fluency in Spanish a plus. Demonstrated excellent interpersonal skills. Experience preparing Power Point presentations, conducting oral presentations and facilitating interactions with internal and external stakeholders preferred; and Experience with Word and Excel; Ability to balance competing priorities, negotiate solutions and adapt to the changing needs of the business while meeting deadlines; Superior analytical, organizational and time/project management skills; Ability to balance and negotiate business and legal needs; Ability to quickly learn and fill gaps in knowledge with regard to applicable laws and regulations; Ability to balance superior attention to detail while maintaining clear awareness of the big picture; A will to learn and win coupled with strong personal accountability; Exceptional judgment and professionalism.
