Senior Corporate Counsel- M&A Responsibilities: Providing legal support for M&A and (occasional) business unit divestitures ( M&A Transactions ); working closely with cross-functional teams and specialists in other groups across Cisco, including Tax, Finance, HR and Integration. Coordinating legal support for M&A Transactions across the various groups in the Legal Department, including IP, Litigation, Corporate, HR, Sales and Engineering. Reviewing and negotiating Corp Dev NDAs. Leading due diligence. Assessing/advising on deal risks. Supporting deal negotiations. Providing advice on deal structuring. Supporting efforts to secure regulatory approvals. Drafting and reviewing deal documents. Providing post-closing support. Managing outside counsel. Monitoring trends in securities and corporate law. Providing legal support for Cisco's investments in portfolio companies and investment funds. Leading cross-discipline teams and handling outside counsel (where necessary) in connection with diligence, structuring, investment documentation and deal execution. Working closely with the antitrust/competition law specialists in our team.

Requirements: A law degree. Active Bar membership. 6+ years law firm experience in the M&A group; preference for additional in-house M&A experience. 7-8 years of experience. Knowledge of: Recognized as subject matter expert with deep experience and capabilities in one or more subject matter areas. Proven track record of acting independently in areas of ambiguity and making good business decisions with infrequent input from manager. Consistently makes excellent strategic decisions with business needs in mind. Maintains reputation of a good strategic business partner among internal clients. Independently and consistently delivers top-quality work product on highly complex and diverse tasks. Proactively identifies and participates in resolution of complex problems with business impact. Identifies and develops innovative strategies that benefit internal clients and customers.
