Senior Corporate Counsel Duties: Review, negotiate and approve legal contracts for the corporation; including day to day oil and gas and general corporate and commercial contracts; Review and assist with the interpretation and analysis of legal title issues; Assist with review, analysis and documentation of midstream oil and gas matters; Evaluates strategy and manages lawsuits and administrative actions; Provide legal advice on complex issues concerning the rights, obligations and privileges of the corporation; Assist in performing corporate secretary function, including preparing various types of support for Board of Directors meetings; Assist with SEC/public company disclosure and compliance matters; Gather and analyze research data, such as statutes, decisions, legal articles, codes and documents as necessary; Keep abreast of legislative and administrative regulatory developments, particularly in the environmental area and local and state government matters, as they affect the corporation; Assist with coordination and operation of corporate risk management program; Review legal publication and perform database searches to identify laws and court decisions relevant to PDC legal department; Manage and supervise outside counsel where appropriate, to assist in completion of the above duties; Prepare legal documents at the request of the Assistant General Counsel; Participate in special projects at the direction of General Counsel and other SMT Members; Performs other tasks as directed by Assistant General Counsel; Demonstrate commitment to safety and environmental compliance in all job aspects.

Qualifications: JD Degree with 5-10 years of progressive experience at a major law firm or in-house counsel for in house oil and gas company with proficiency in oil and gas; land issues, complex commercial litigation, environmental, business related claims, and contracts; Licensed attorney with the State of Colorado and/or Texas experience preferred; Prior law firm experience is preferred; Exploration and production oil & gas experience preferred. Intermediate incumbent possessing supervisory skills related to allocation of people and resources. Transactional skills to lead assigned department and manage cross departmental functions. Thorough understanding of contracts and related agreements necessary to the exploration and production of oil and gas; Advanced knowledge of contractual risk mitigation measures common in oil and gas contracts; Ability to integrate business judgement into legal advice and demonstrate pro-active strategic decision making; Strong organizational skills that reflect ability to perform and prioritize multiple tasks with attention to detail; Ability to manage confidential information without issue; Demonstrated ability to achieve high-performance goals and meeting deadlines in fast-paced environment; Forward-looking thinker; Advanced knowledge of regulatory standards and compliance; Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, statutes or governmental regulations; Effectively present information and respond to related questions; Motivated self-starter; Abilities of self-sufficiency and flexibility to work in a growing and evolving function; Strong interpersonal skills to work with internal employees and external counsel; Clarity of communication, both written and oral; Strong presentation drafting and project management skills; Advanced knowledge of phases within oil and gas exploration and production operations, including midstream and marketing; Ability to manage multiple projects; Availability and access to internal employees.
