Deputy General Counsel- Corporate Duties: Responsible for managing legal transactions with a focus on SEC reporting, public and private debt offerings, commercial borrowing, M&A, corporate governance/restructuring, and compliance. Ability to communicate effectively and keep stakeholders informed is highly valued. Responsible for all SEC reporting obligations with minimal internal support including principal responsibility for drafting proxy statement, review and comment on annual and quarterly reports, draft periodic reports and manage section 16 filings. Primary responsibility for finance transactions and credit agreement compliance. Commercial support for treasury function. Support tax planning and transfer pricing transactions. Draft intercompany agreements and manage intercompany commercial and finance transactions. Support domestic and international M&A activity. Coordinate diligence and anti-trust and other regulatory filings. Draft ancillary/principal documentation. Support the corporate secretary's office in connection with board meeting preparation. Work with internal staff to oversee subsidiary maintenance program. Oversee database for 200 subsidiaries. Responsible for major corporate policies sanctions, code of ethics, bylaws, insider trading and implementing annual trainings. Implement corporate policies and initiatives. Complete special assignments at the request of the department. Conduct and oversee research into a variety of legal issues. Provide analysis of legal and policy issues. Performs such other duties as required.

Qualifications: JD degree. 5-12 years legal with several years experience in top tier law firm or corporate law department. Prior inhouse experience preferred. Thorough understanding of current federal securities laws. Know how business and organizations work. Understand the cultures of organizations and the origin and reasoning behind key policies, practices, and procedures. Must be comfortable managing a large number of stakeholders across multiple disciplines and geographies. Must be an excellent communicator and project manager. Knows how to get things done both through formal channels and the informal network. Knows how to work with teams to meet deadlines and accomplish goals. Must be highly organized and driven. Ability to manage a high volume of diverse tasks is essential. Exhibits a take charge  attitude and takes pride in work. Should set challenging standards and expectations and be accomplishment focused. The ability to produce an effect without apparent force or direct authority. The ability to be effective in a variety of formal presentation settings including one -on-one, small and large groups, with peers, direct reports, and managers. Is effective both inside and outside the organization including vendor relationships. Ability to think critically about a problem or issue. The ability to envision things ahead clearly. Can anticipate future consequences and trends accurately. Has broad knowledge and perspective. Is future oriented and can articulate visions and possibilities and likelihoods. Can create competitive and breakthrough strategies and plans.
