Senior Counsel, Corporate And Securities

Senior Counsel, Corporate and Securities The candidate will be handling SEC reporting and compliance matters (including periodic reports, earnings releases and Section 16 filings). Will be supporting corporate governance and corporate secretary (including preparation for board and committee meetings, proxy statements and stockholder meetings). Driving treasury matters, including capital markets transactions, stock repurchases, hedging programs and intracompany transactions. Depending on need, stepping up on strategic transactions and executive compensation. Reviewing SEC rules, as well as other relevant professional resources, on a regular basis to keep up with corporate governance trends.

The candidate should have a JD degree with strong academic credentials. Must have 7+ years in securities law ( 33 and 34 Act), SEC reporting matters and corporate governance (associates at top firms with less experience may be considered). Exposure to strategic transactions, especially drafting is required. Must have excellent interpersonal, written and oral communications skills. Agility and flexibility, combined with strong analytical and problem-solving skills needed.
