Corporate Legal Counsel

Corporate Legal Counsel Duties: Negotiates, writes, and executes complex trade agreements, commercial leases, and vendor contracts on behalf of the company. Reviews, and negotiates IT agreements/contracts on behalf of the company. Reviews and advises bid-team on RFP responses, potential contractual issues, and items for negotiation. Works with leadership to negotiate and draft revenue contracts with company VPs and client contract-administrators. Assists in revenue contract negotiations by refining negotiation strategies, preparing executives for oral presentations, and corresponding with clients to execute each deal. Advises leadership on contract status, legal risks, and the legal liabilities. Assists in all facility lease agreement renewals and correspondence for any lease issues. Participates in the definition and development of corporate policies related to contractual commitments and operational needs. Provides continuing counsel on legal implications of all policy/procedure related matters. Provides continuing counsel on various legal issues and on legal implications of all company matters. Supports all executives, fields offices, and corporate departments through counsel on operational issues. Works alongside departments within the company, proactively identifying issues, and assisting in the resolution of issues as they arise. Researches and anticipates unique legal issues that could impact the company. Drafts and responds to demand letters related to contract, personnel, insurance, and facility issues. Engages with outside counsel on urgent and complex legal issues. Works with Corporate HR to review and manage involuntary termination claims within the company. Responsible for EEOC claim responses and Department of Labor/OSHA inquiry management. Provides legal guidance on all Human Resource matters, including garnishments/wage withholding orders. Researches and anticipates unique employment issues that could impact the company. Manages legal-garnishment process. Facilitates parent and subsidiary company annual registration process and organizational updates. Manages partnership with Registered Agents, ensuring seamless acceptance and transfer of SOP. Oversees vendor management process for the company, advising Accounting and Procurement on vendor approval/denial decisions.

Qualifications: JD Degree from an ABA accredited law school. Admitted and in good-standing with at least one state bar association. 2+ years' legal practice with contracts and corporate law experience is required. Must be qualified to do business in various states. Excellent academic background. Superior organizational, interpersonal, and communication skills with attention to detail. Strong team player who can work well with colleagues at all levels, in all departments, and in all states. Excellent writing, editorial and proof-reading skills. Strong critical thinking, creative problem solving, interest-based negotiation, organization, leadership, and communication skills. Ability to prioritize, manage and multi-task in a fast-paced, high-output, and team-oriented environment. Knowledge and proficiency of office Microsoft Office.
