Senior Vice President & Assistant General Counsel - Corporate Responsibilities: Lead mergers, acquisitions, and investments practice, including negotiating and drafting (or overseeing the drafting of) term sheets and definitive deal documents. Manage diligence and disclosure processes, both with respect to the company's acquisitions and potential new investments in the company. Ensure compliance with applicable laws, regulations, and covenants with respect to its public debt, including advising on disclosures and investor relations. Ensure compliance with its corporate obligations and applicable regulations, such as Board of Directors functions, shareholder approvals, related party transactions, and employee compensation programs. Work cooperatively and productively with finance team, business development team, and other company personnel to ensure efficient, effective deal structures and compliant disclosures. Lead a small in-house team of other legal professionals and lead cross-functional teams of in-house and outside attorneys, advisors, and businesspeople. Maintain an investment playbook to guide company personnel and advisors in mergers, acquisitions, and strategic investments and a brief instructional sheet on required Board of Directors, shareholder, and related party approvals for use by company personnel. Manage the onboarding and billing processes for outside counsel. Remain current in evolving legal standards and business structures regarding the foregoing responsibilities.

Qualifications: JD Degree. Current license to practice law in at least one state; eligible to practice in Florida. 15+ years of corporate and strategic transaction experience, including leading cross-functional teams in closing deals on accelerated timelines. 15+ years of corporate experience, including working with large-company governance, disclosure and approval processes, and public financing regulations. Excellent, versatile negotiation skills. Excellent drafting skills with respect to a wide variety of legal documents and disclosures. Demonstrated ability to lead a cross-functional team in a fast-based environment. Significant experience working with C-suite level executives and boards of directors. Fluent in Spanish. Desired Skills & Experience: Significant experience in the media space (streaming, television, radio), including a working knowledge of applicable broadcast regulations as they relate to strategic transactions. A working knowledge of real estate, licensing, tax, and antitrust laws. Significant experience with strategic transactions in Latin America. Highly collaborative individual with ability to influence others and build strong professional relationships. Strong ability to navigate through barriers to drive successful initiatives throughout the business. Deep experience managing high-stakes issues in a professional, assertive, and proactive manner. Strong organizational skills and ability to handle sometimes heavy workloads across multiple, cross-functional projects.
