Corporate Legal - Assistant General Counsel - Vice President - Capital Markets The candidate will be providing advisory support primarily for the CIB Equity Capital Markets and Debt Capital Markets teams, as well as secondary coverage for M&A and Investment Banking Coverage. Responsibilities will include drafting, negotiating and advising on the full range of documentation relating to Capital Markets and M&A advisory work (including underwriting documentation, private placement and M&A engagement letters, fairness opinions, consent letters, transactional proxy disclosure and confidentiality agreements). Providing advice to the ECM/DCM Capital Markets, as well as M&A Advisory and Investment Banking Coverage Groups, on a wide variety of related legal, conflicts and litigation risk mitigation issues. Will work both independently and with colleagues across the Firm's global Legal Department and will manage, and supervise, external counsel engaged in related assignments. Should have 4+ years of experience, including extensive Capital Markets transactional background, contract drafting and negotiation work. M&A experience is also a strong plus. Prior experience working for or representing a full service investment bank (on Capital Markets, M&A or other transactional assignments). Solid knowledge of the U.S. securities laws applicable to public and private offerings of securities. Extensive experience with SEC-registered and Rule 144A offerings for equity, equity-linked, high yield and high grade issuers. Must have experience with drafting and reviewing prospectuses/offering memoranda, underwriting agreements, indentures and other engagement documentation. Should have familiarity with securities counsel opinions, comfort letters and related accounting issues. Familiarity with recent landmark Delaware case law relating to M&A litigation a plus. Other relevant experience helpful: Latin American offerings and other cross-border securities offerings, SEC reporting and corporate governance. Prior experience with conflicts management also helpful. Law school degree (JD) and admission to NY bar required. Must have excellent drafting skills, strong attention to detail. Polished verbal and written communication skills; ability to effectively communicate complex legal issues to senior managers or executives; strong interpersonal skills.
