Corporate Counsel Duties: Assist in corporate governance and board matters, including preparation of board and committee materials, minutes, and updates to corporate charters and policies. Support periodic SEC reporting, proxy statement, matters relating to annual shareholder meeting, and preparation of registration statements. Support insider trading compliance, including Section 16 and 10b5-1 trading plans. Advise on executive compensation matters and broad-based equity compensation program support. Support NASDAQ listing and governance requirements. Provide advice and counsel regarding corporate governance requirements and best practices. Securities and governance-related support for mergers and acquisitions, strategic investments and other corporate transactions. Support subsidiary governance and secretarial issues. Provide strategic, practical legal advice to business partners, including accounting, finance, communications, investor relations, and people operations teams. Drive and execute special projects in support of key objectives of the Legal team or the business. Develop, implement, and continuously improve company and team processes and procedures.

Qualifications: JD Degree with solid academic credentials. Admission, in good standing, to the bar of at least one state. 6+ years of relevant legal experience including strong background in corporate governance, securities, and compliance matters, including preparing annual filings, drafting resolutions, and maintaining corporate minute books. Demonstrated ability to provide sound, practical legal and business advice with a business and solution-oriented approach to resolving issues. High level of organization, prioritization and project management skills, tech savvy. Excellent interpersonal skills, with an ability to work cross-functionally, communicate well within and outside Legal to audiences at all levels of the organization. Detail-oriented, with excellent analytical skills, while also adept at prioritizing competing deadlines and responsibilities, and thrives in a fast-paced environment. High level of integrity, professionalism, intellectual curiosity, humility, and willingness to grow, along with EQ and a sense of humor. Ability to work both independently and collaboratively across diverse teams, and inspire others to collectively achieve corporate objectives. Nice to Haves: Top-tier law firm and in-house experience with high-growth companies preferred. Prior experience working at an insurance company or highly regulated industry. Expertise in other disciplines, such as corporate compliance, ethics, privacy, records / data governance, employment law, contracts and licensing.
