Senior Corporate Counsel, Governance, Litigation & Employment, IP (GLI) Duties: Provide legal advice, strategy and practical business-focused solutions enabling the business to achieve its objectives while preserving and protecting integrity and reputation. Manage and provide advice with respect to corporate governance requirements and best practice, including related documentation and research or benchmarking projects. Assist with addressing ESG matters, related disclosures and related inquiries from various stakeholders. Provide contract drafting and negotiation and related client advising for multiple business clients, including Human Resources, treasury, Finance, corporate communications and stock administration, including advising these clients on day-to-day legal and regulatory issues. Support Finance on treasury policy, negotiating and documenting financing transactions, monitoring compliance with financial covenants under debt instruments and documenting intercompany corporate transactions. Support Human Resources in matters relating to diversity and inclusion initiatives, code of conduct, employee training, employee relations matters, executive compensation, offer letters, severance agreements, equity-related and other compensation plans. Manage's intellectual property portfolio, including trade secrets, trademarks, copyrights, patents, worldwide. Advise on monetization strategies with respect to IP portfolio. Oversee inbound and outbound licensing. Support Chief Legal & Compliance Officer in M&A transactions, including negotiations and transaction documents. Manage corporate governance matters relating to Board of Directors and senior management. Assist in preparation and review of Board materials, presentations, resolutions, minutes, and other documents; advise/research on various Board-related issues, governance, trends, developments, and risks. Assist with maintenance of subsidiary records and related requirements. Review marketing materials. Provide support and advice on the topics of privacy and security in compliance with the GDPR, CCPA and similar laws and regulations. Advise on a broad range of strategic legal and business matters. Serve as a resource to all members of the legal team in addressing corporate issues as they impact or apply to their areas of responsibility. Assist, collaborate, and lead as directed on Legal and Enterprise Affairs (LEA) and company projects and other tasks as directed. Collaborate and build positive, productive relationships with team members at all levels across LEA and corporate functions. Manage and develop direct reports within LEA as may be directed. Work with and direct outside counsel on advice, research, filings, disclosures, and other projects as needed. Serve as a resource to all members of the legal team in addressing corporate issues as they impact or apply to their areas of responsibility.

Qualifications: JD Degree and membership in one state bar or equivalent. Experience at a major multinational law firm or in-house experience. Familiarity and experience with corporate governance. Exceptional written and verbal communication skills, as well as demonstrated proficiency in working closely with and advising senior business leadership. Outstanding legal and business judgment and strong analytical skills, even in ambiguous situations. Familiarity and experience with intellectual property. Familiarity and experience with employment and HR issues. Self-motivated, creative problem-solver, trusted advisor, with the ability to work independently, prioritize multiple projects and work effectively in a fast-paced, results oriented environment. Strong work ethic and high ethical standards. Extremely comfortable providing counsel directly to senior business leadership on both legal and business issues. Strong written and verbal communication skills, including the ability to present complex issues in a clear and concise manner. Willingness to collaborate, learn, share knowledge, respond quickly to urgent matters and execute proactively. Strong analytical and reasoning skills required in connection with researching legal issues, assessing impact on business processes and making recommendations. An effective team player with the ability to work with others and to coordinate complex projects across various corporate functions. Business-minded with strong creative problem-solving abilities and exemplary strategic/project management skills. Able to make high-judgment assessments of risk while effectively dealing with ambiguity. Provide strategic thinking to help the business to mitigate potential risks. Take effective action even without complete information and roll up their sleeves in a typical start-up fashion to help the business with legal and non-legal issues. Client-service oriented with ability to think big while also paying great attention to detail on tight deadlines. Able to prioritize appropriately and easily switch gears without sacrificing quality of work, maintain a high level of professionalism, integrity, and discretion in handling confidential information, and have the ability to work well with people at all levels inside and outside.
