Corporate Counsel - US Legal Operations Duties: Draft and negotiate various complex agreements, predominantly in the area of Procurement/ Buy-side agreements - including master service agreements, market research, manufacturing and supply, Information technology/SAAS/data, detailing, contracted workforce, consulting, finance, construction, and real estate lease agreements. Draft/negotiate contracts involving experts such as: investigator initiated clinical and research studies, advisory boards, sponsorships, medical education and grants. Analyze contracts for FCPA, fraud and abuse, FDA, and other regulatory compliance. Remain current on corresponding laws and regulations. Interface with internal management and external parties to gather specifications and key business terms necessary for contract drafting and negotiations. Advise on legal rights under contracts on matters subject to disputes. Manage contract assignments post acquisition or divestiture. In limited circumstances, manage outside counsel (and associated spend) for certain matters. Contracting Processes Lead and/or contribute to cross-functional and legal teams and work streams on standardizing, simplifying, harmonizing, and mechanizing the contracting process and forms. Draft contract templates. Draft strategic decision-making playbooks for deviations from templates. Draft SOPs for contracting in North America. Prepare training materials and conducting training for non-attorneys on template use/process. Communicate company contract policies and requirements. Establish strong and positive partnerships with contracting, regulatory and product lawyers of US and French legal teams; and with business colleagues within North American perimeter. Corporate Coordinate and implement corporate restructuring initiatives, such as forming new entities, completing intercompany mergers, liquidations, or other transactions as required. Assist with day to day US corporate governance matters such as appointing directors and officers, drafting board resolutions, or assisting with intercompany agreements.

Qualifications: JD Degree from accredited law school. 3-5 years of post-J.D. experience including: Prior experience at EITHER a law firm with a significant transactional practice and knowledge of contracts OR as a member of an in-house legal department negotiating commercial contracts ; and Licensed to practice law in a US state, and either in good standing in New Jersey or able to obtain a NJ limited license for in-house counsel. Strong contract drafting and negotiation skills. Team player with clear ability to develop and maintain strong collaborative relationships with legal colleagues, business colleagues and cross-functional teams. Demonstrated ability to clearly explain legal principles and compliance requirements in the contracting process, as well as the business purpose and needs of any agreement. Project management skills. Commitment to consider new ways of working and working in new technology platforms applicable to legal and relevant business functions. Identify opportunities for improvement and engaging with appropriate stakeholders to propose solutions. Solution-oriented; business-oriented with willingness take action and to engage in thoughtful risk taking. Self-motivated, able to work independently, reliable, responsive, and accountable to deliver results. High level of professionalism; strong interpersonal skills; strong communication skills. Proven ability/interest to stretch and grow across a broad range of subject matter areas. Ability to handle multiple responsibilities and priorities simultaneously in a service friendly way, and still meet high quality and timeliness standards under pressure. Sound judgment and commitment to ethical conduct. Preferred Qualifications: Bachelor's degree or other experience relevant to pharmaceutical operations, for example business management, project management, finance or life sciences. Knowledge of laws and regulations pertinent to the pharmaceutical industry.
