Corporate Attorney (Senior Director) The candidate will assist with the annual proxy statement preparation and stockholder meeting process. Will assist with the preparation and review of Annual Report and 10-K, as well as 10-Qs, 8-Ks, supplemental information and investor presentations. Review internal reports, presentations and other materials for non-GAAP and Regulation FD compliance. Oversee securities law compliance relating to trading in Company securities and legal aspects of the Company's stock incentive plans (e.g., review of Section 16 filings and 10b5-1 trading plans). Help ensure ongoing compliance with NYSE listing requirements. Prepare and review registration statements and related filings (Form S-3s, Form S-8, prospectus supplements). Assist with debt offerings and tender offers/redemptions. Assist with At the Market Equity matters (quarterly diligence, comfort letters, offerings). Research securities-related issues. Service and consult on agreements. Manage DownREIT equity transactions and related corporate matters. Provide support, as appropriate, in connection with potential acquisitions and dispositions, primarily with due diligence reviews. Assist with preparation for Board of Director and committee meetings, including supporting materials and preparation or review of minutes. Collaborate in maintaining and updating corporate compliance documents and policies, including Code of Ethics, Committee Charters, Change in Control Plans, Insider Trading Policy and Sarbanes-Oxley requirements. Assist with review of investor relations matters (e.g., press releases and earnings releases). Assist with preparation of annual ESG Report. Assist with preparation of investor outreach materials relating to ESG matters. Assist with various ESG reporting initiatives. Engage with outside counsel and other vendors. Draft, review and negotiate commercial contracts. Remain current on corporate and legal developments. Provide general corporate research and advice, when necessary. Build and maintain collaborative relationships with various departments throughout the organization. Assist with stockholder outreach efforts.

The candidate should have Juris Doctor from an upper-tier law school and admission in good standing to a State Bar (California preferred). Must have 3-6 years of relevant experience at an Am Law 100 law firm, with a focus on securities/SEC/governance matters, and experience supporting public companies and Boards of Directors. REIT experience is a plus. Must have superior verbal and written communication skills, as well as interpersonal skills.
