ESG Disclosure and Corporate Governance, Corporate Counsel The candidate will serve as a key member of the highly visible Environmental, Social, and Governance (ESG) function of the Office of the Corporate Secretary, reporting to the ESG Reporting Lead Counsel. Handle a variety of legal and governance matters with a principal focus on contributing to the development of external disclosure related to the firm's ESG commitments and performance, including our annual ESG Impact Report and provide support for responses to both periodic and ad hoc requests for information related to our ESG profile from clients, investors, and analysts and advisory ratings and research organizations. Collaborate with Securities Counsel regarding references to ESG in our SEC reporting, including 10-K and Proxy. Support public company compliance and governance excellence through a variety of responsibilities related to our quarterly Board of Directors meetings and earnings cycle, including analysis related to market sensing in governance best practice, preparation of Board resolutions, and other general corporate legal and governance matters, as needed. Participate in the advancement of the firm's approach to ESG impact, bringing to life a measurable and decision-useful aspect of our Purpose and Values, driving long-term growth and sustainable value for our stakeholders through enhanced transparency and integration of ESG considerations into business strategy. Work in close partnership with team members located in San Francisco, New York, Philadelphia, and the Washington D.C. metro area, which is our center of gravity. Contribute to the success of a team of 13 legal and business professionals with subject matter expertise ranging from Corporate Law, Environmental Sustainability, Strategic Transactions, Public Company Compliance, Tax, Executive Compensation, International Entity Management, Diversity and Inclusion, and more. This position can work remotely but should be able to support a 9-5 EST schedule. Due to the nature of work performed within this facility, U.S. citizenship is required. 4+ years of experience with legal advising to public companies on matters related to disclosure, corporate governance requirements, and best practices required. Experience in a top-tier law firm required. JD degree required required. Experience with advising public companies on ESG reporting or related matters required. Experience with integrating legal theory into business practice required. Knowledge of corporate sustainability, corporate responsibility, or ESG best practices required. Possession of excellent oral and written communication skills required. Possession of excellent organizational and analytical skills required.
