Corporate Counsel Duties: Work closely and collaboratively with our Legal, Intellectual Property, Finance, Strategic Supply Chain, Procurement, Information Technology, Manufacturing, Quality, Regulatory, Commercial, Business Development, Human Resources and Research and Development teams to ensure that appropriate, pragmatic and timely legal advice and services are provided throughout our organization; Independently draft, review, strategize on, lead cross-collaboration on, negotiate and drive to closing, a wide variety of contracts, including manufacturing, supply, service, information technology, consulting, customer, distributor, confidentiality and other agreements; Lead the contracting function by creating, updating and maintaining form agreements and documents, designing standardized work processes, policies and training, coordinating knowledge management efforts, and configuring and implementing legal services technologies, that all result in high quality and efficiency; Prepare and review SEC disclosure and compliance documents (including 10-Ks, 10-Qs, 8-Ks, press releases, quarterly earnings call scripts, proxy statements and registration statements) and oversee Section 16 compliance; Assist with drafting and reviewing transactional agreements, performing due diligence and handling closing and post-closing matters; Assist with compliance, risk and dispute assessment, mitigation and management efforts to ensure that our business and operations comply with applicable laws, regulations, industry codes and company policies; Assist with other work handled by the Legal team; Monitor, evaluate and manage outside counsel and external spend to ensure the delivery of appropriate, value-oriented advice and work product; and Counsel and collaborate on policy and process development, implementation, training and other relevant activities.

Qualifications: A JD degree with a strong academic and professional record; 5-8 years of broad corporate, securities, commercial and transactional law experience; Substantial experience in commercial and transactional drafting and advising, serving as the first or second chair in complex negotiations and steering cross-functional groups, including through unique, urgent situations where little precedent or guidance exists; Substantial recent securities law experience, including understanding and applying technical regulatory requirements and drafting public disclosure documents, preferably in the life sciences industry; Experience as a Corporate Attorney at a top law firm; Experience in the life sciences sector, particularly with a pharmaceutical company, is preferred but not mandatory; and Good standing with one or more state bars, preferably at least the Massachusetts Bar. Sophisticated emotional intelligence, strong interpersonal skills, a collaborative style and an ability to exert soft influence and build appropriate consensus; An ability to manage differing opinions, ambiguity and conflict effectively; Comfort navigating in a highly regulated, intellectual property-dependent, public company environment; Exceptional reasoning skills and a creative, pragmatic, solution-oriented and cross-functional problem-solving approach; Excellent oral and written communication and presentation skills; Well-developed drafting and project planning skills; A track record of handling complex, contested negotiations as the first or second chair; A serious interest in developing and implementing cross-functional process improvement initiatives; An ability to work independently with little or no supervision; An astute resourcefulness and drive with which to attack unfamiliar legal and regulatory frameworks and business problems quickly, efficiently and effectively; A proactive, entrepreneurial mindset and a willingness to roll up your sleeves to get any job done; A serious passion, curiosity, receptiveness and capacity to learn about our evolving company and the complex industry in which we operate, the varied players in our industry, the underlying science of our products, and the sale, delivery and use of our products within the healthcare system; An ability to set and manage multiple, constantly-changing, sometimes conflicting priorities in a dynamic, fast-paced environment; and A dedication to the highest level of customer service.
