Associate Vice President, Senior Corporate Counsel

Associate Vice President, Senior Corporate Counsel Duties: Create, maintain and manage corporate books and records for numerous subsidiaries. Assist with Corporate disclosures and regulatory insurance filings. Support Mergers & Acquisition work. Support due diligence examinations to connect with company acquisitions. Draft as well as negotiate agreements related to joint ventures. Support public company securities work (both pre-and post IPO). Identify and implement best practices to ensure high quality, transaction documentation in a timely and appropriate manner. Supervise outside counsel as required. Prepare corporate procedures, policies and programs. Deal with complex, significant matters that cut across legal and related areas. Work with internal and external customers to understand business problems and desired solutions. Alert project managers to potential risks and issues of importance. Collaborate on process improvement. Represent the legal team at cross-functional meetings to provide preliminary legal analysis and issue spotting. Identify risks along with propose alternative structures to reduce risks involved in prospective transactions. Perform cross-functionally across organization to manage different projects and execution of new initiatives.

Qualifications: JD degree required; Licensed to practice law. Admitted to practice law in Minnesota. 7+ years of professional experience required. 4+ years of experience in roles of increasing responsibility required. Health industry experience preferred. M&A experience preferred. Public company reporting experience preferred. Demonstrated superior analytical and communication skills. Demonstrated ability to simultaneously manage multiple projects in parallel and manage a wide array of internal and external stakeholders. Strong technical writing skills. Attention to detail; trusted to communicate with partners internally and externally. Ability to prioritize and change priorities as necessary. Willingness to learn and operate in ambiguity. Desire to learn and navigate the complexities within the US healthcare system.
