Senior Corporate Counsel, Finance And Lending

Senior Corporate Counsel, Finance and Lending The candidate will be responsible for drafting, negotiating, analyzing, managing, and approving corporate finance contracts, including credit agreements, security documents, guaranties and other deal documents. Will also provide advice on banking and cash management agreements, Treasury-related corporate contracts and creditors rights issues. This position requires a strong negotiation and contracts background and specific experience with lending transactions (representing both borrowers and lenders), secured loans, capital leases, guaranties, letters of credit, the UCC, deal management and closing experience. A general knowledge of bankruptcy and creditors rights laws is strongly preferred. The Senior Corporate Counsel must also successfully collaborate with internal and external attorneys, internal stakeholders and customers to develop and execute agreements. Support and manage time-sensitive negotiations regarding finance matters, including loans, capital leases and other transactions overseen by Delta's Treasury and Capital Markets departments. Ensure the successful management of closings. Negotiate and manage the portfolio of parent guaranties. Review and negotiate cash management agreements, including bank account agreements, powers of attorney, letters of credit and other banking contracts. Manage intercompany finance agreements and transactions among and its subsidiaries. Should have Juris Doctorate and bar admission required. Should have 8 - 10 years of lending, finance and other commercial contract experience. Embraces diverse people, thinking and styles. Consistently makes safety and security, of self and others, the priority. Ability to communicate with senior management and manage expectations as related to contract status, negotiations, or other contractual matters. Ability to work quickly and competently to prioritize, manage, and multi-task in a fast?pace working environment. Problem solving, solution minded approach to collaboration. Demonstrate Core Values of integrity, respect, perseverance.
