Senior Corporate Counsel

Senior Corporate Counsel The candidate reporting to the Senior Director of Legal, primary areas of responsibility include drafting and negotiating end user license agreements and master services agreements, all channel-related agreements, and vendor agreements including marketing, IT procurement, and sourcing and product-related agreements. Will be asked for the development and delivery of training for global stakeholders, and will regularly review and update contract templates and corporate policies and procedures. Some specific tasks include: Drafting and negotiating licenses, product purchase, service, distributor, reseller, and other sales-related agreements including SaaS; Drafting and negotiating supplier/vendor agreements, technology partner agreements, NDAs, and evaluation agreements; Ensure contracts comply with Forescout policies and procedures; Advise and assist various internal stakeholders in the development and maintenance of standard contract terms and conditions; Draft contracts for new products and programs in consultation with internal stakeholder groups; Understand data privacy requirements and be able to negotiate adequate protections; Manage development and updates to contracts playbook resources to document best practices; Develop materials and deliver policies and procedures training to global stakeholders; Manage outside counsel and contracts managers as necessary to accomplish legal department tasks; Managing agreements through DocuSign and other databases. BA/BS and JD required. should be lawyer qualified to practice in at least one U.S. state. Must have 10 years of experience in-house, law firm or mix. Should have significant experience and confidence with transactional, contracts, and licensing agreements.
