Assistant Counsel, Contracts Duties: Responsible for providing legal advice and counsel involving a variety of commercial agreements, including technology, supply and service agreements and licenses. Collaborate and provide support regarding supply chain transparency and responsible sourcing matters. Coordinate with, and occasionally manage, outside law firms with respect to highly complex or specialized transactions as well as litigation arising from breach of contract and other contractually related disputes. Advise and counsel all levels within the organization, including senior leadership, to identify critical legal issues, assess potential legal options, and provide individuals and teams with an analysis and range of possible legal solutions. Assist with due diligence for IT and Supply Chain matters for potential acquisitions and the integration of acquired companies. Qualifications: JD Degree from a reputable law school. Licensed in NY. 3-5 years' experience. Experienced business-oriented corporate lawyer with ability to form strong relationships with and serve as counsel to various individuals and teams in Supply Chain (including Procurement) and IT. Experience with drafting, reviewing and negotiating various commercial contracts related to procurement of goods and services. For example, SaaS and software license agreements, IT and business process outsourcing agreements, data licensing agreements, software development agreements, agreements for consulting services or professional services, agreements for logistics or warehouse services, master purchase agreements, and master service agreements and related SOWs. Familiarity with privacy and data security requirements. Experience in building, updating and refining contract templates customized to meet specific needs and requirements of business, while incorporating experience-informed negotiating positions. Ability to meet deadlines, prioritize workload, adapt to changing conditions and execute in a complex matrix environment. Attention to detail is crucial. Experience with contract automation systems and related technology a plus. Cosmetic and/or consumer goods industry experience a plus. Experience with managing contract disputes a plus. Combination of law firm and in-house experience a plus.
