Senior Corporate Counsel, Commercial Legal, Ableau, Sales Duties: Play a valuable role in the company's Legal Department supporting Tableau's Americas Sales Team. Close deals (direct and indirect) through negotiating a variety of technology agreements and will also provide the company additional legal support as requested. Focus of this role is on preparation, analysis, negotiation and counseling on technology licensing agreements, professional services agreements and other related contracts. Daily interaction with the company's sales, operations and finance groups. Draft, review, analyze, and negotiate a variety of contracts, including technology licensing agreements (on-prem and SaaS subscription agreements), and other agreements relating to professional services, confidentiality, requests for proposals, assignments, license transfers, and direct and indirect distribution. Conduct legal training for the Sales and Operations teams. Seamlessly collaborate cross-functionally with the company's sales, operations, engineering, information technology, human resources, marketing, and finance groups to understand and ensure consistency of agreement terms with the company's business, financial and risk management objectives. Work closely with privacy team to ensure compliance with global privacy laws and company policies. Advise internal clients regarding legal and business issues, including identifying, managing and communicating risks and opportunities associated with specific agreements. Proactively communicate with legal team; provide diligence/insight into the company's existing corporate agreements and identify / propose solutions to any localization issues. Consistently anticipate, communicate, provide timely evaluation and guidance of, and propose mitigation strategies for and advise management of potential risks in contractual, regulatory, compliance, financial and legal areas. Contribute to ongoing process improvement and problem solving within the legal team. Conduct various additional other legal and ad hoc projects as required.

Qualifications: JD Degree from accredited law school. Bar Admission. 10+ years ? experience, including at a fast-paced, agile technology company working with technology (licensing) agreements including drafting, review, negotiation and analysis of the same, ideally supporting a quota-carrying sales team. In-house technology company experience required. Law firm experience preferred. Developed business acumen, with ability to understand the company's business and anticipate the nature and magnitude of issues that could arise in various settings.
