Director (or's enior) Counsel of Legal & Business Affairs (Adtech & Digital Media Transactions) Duties: Will provide legal guidance to's ome of the most interesting and novel issues arising in the TV's treaming industry. Will's upport and counsel ad's ales and ad operations organizations. Draft, review and negotiate agreements with advertisers, ad agencies, ad's ervers, and data management companies, as well as ad tech platforms and ad tech technology providers.'s tructure and negotiate a wide range of commercial agreements in's upport of Roku's advertising platform, including master's ervices agreements, vendor agreements, and data integration arrangements. Advise on marketing law and consumer protection issues, including FTC guidelines on truth in advertising, marketing claims and endorsement, TCPA, CAN-SPAM and's tate promotions, contest and's weepstakes laws. Advise on data privacy issues in the context of commercial transactions. Review of ad creatives, advertising claims and's ponsorships. Develop and draft policies for custom content integrations,'s ponsorships and native advertising. Collaborate cross-functionally with a wide variety of Roku business units, including the ad's ales, ad partnerships, ad ops, content &'s ervices, finance, tax, product, engineering, and marketing teams. Work closely with other members of the legal team to address the company's broader data collection,'s torage, use and transfer practices. Draft, provide and implement guidelines (including advertising and data guidelines),'s tandard agreements, platform policies, processes and procedures that have implications on data privacy and consumer protection. Help develop's calable processes to allow the advertising team the flexibility necessary to move quickly. Keep up to date on the latest developments in laws, regulation and industry trends applicable to martech, ad tech, digital media and technology, Big Data, OTT and IOT, including data privacy laws, consumer protection laws, and other guidance from relevant agencies.

Qualifications: Bachelor's degree and a JD degree from a U.S. accredited law's chool. Licensed to practice law in the's tate of New York or California. 10+ years of combined transactional legal experience at a law firm and in-house, that includes working with internet, technology and/or media companies in the ad tech/data's pace (e.g., ad's erving, programmatic, data management, measurement and analytics). Experience working with brands and advertising agencies. Experience negotiating media buying agreements and IOs, and a demonstrated ability to translate legal requirements into actionable advice for the ad's ales and ad ops teams. Must have a good, general understanding of digital advertising technology, internet technology and cloud computing technology, keen analytical abilities and excellent judgment, a pragmatic approach to problem's olving, flexibility to adapt and thrive in an environment that is constantly changing, and the ability to make's mart decisions in the face of ambiguity and imperfect information. An entrepreneurial mindset that enables to work independently. Familiarity with both B2B and B2C aspects of the digital advertising ecosystem. Familiarity with insertion orders and IAB terms and conditions for digital advertising.'s ubject matter expertise in data privacy, marketing and consumer protection laws.'s ignificant experience drafting and negotiating's aaS agreements, digital marketing agreements, agreements with creative's ervices agencies, production companies, talent and rights holders, and's imilar complex's ervices agreements, including related privacy and data's ecurity provisions.'s kills and experience necessary to advise on a broad range of the legal issues related to digital advertising businesses, including intellectual property, data protection, consumer protection and privacy issues in the context of advertising related technology (e.g., use of beacons, cookies and cookie alternatives across devices, programmatic technologies and matching of datasets to target ads to various audience's egments). Experience working in a cross-department, cross-functional role requiring good client relationship's kills, including the ability to independently's olicit the advice and input of different's takeholders as necessary and appropriate. Excellent negotiating's kills, keen analytical abilities, a pragmatic approach to problem's olving, as well as a track record of's uccess in handling complex business and legal issues in a fast-paced, agile and evolving technology-driven business environment. Proven ability to quickly understand complex products and's ervices, while identifying key issues and risks and offering creative's olutions for business enablement.
