Corporate Counsel

Corporate Counsel The candidate will support company's public sector sales team, negotiating, drafting and advising a wide range of technology licensing agreements with public and private-sector customers, systems integrators, and resellers/distributors. Typical transactions range from standard contracts to complex, high-dollar-value strategic enterprise agreements, framework agreements, and responses to requests for proposals and quotes. Must be inquisitive, enthusiastic about technology, enjoy working hard and being continually challenged, and demonstrate sound judgment even in ambiguous situations. Should have J.D. and admitted to at least one state bar. Must have 5+ years of public sector focused transactional and technology licensing legal experience. Should have deep substantive knowledge of U.S. government procurement processes and contracting laws, rules, and regulations. Experience engaging with U.S. government contracting officials, system integrators, prime contractors, and resellers is required. Should preferably have In-house experience at a technology company or in a private technology group. Experience as a legal advisor to government procurement officials is desired. A background in software licensing (including open source), web services / cloud computing or telecommunications is highly preferred. Should preferably have Demonstrated experience negotiating and drafting technology licensing agreements with public sector resellers, distributors, and systems integrators serving U.S. government agencies, state / local governments, and other public sector customers.
