Corporate Counsel Duties: Identify and mitigate business and legal risks in prospective and existing contracts and ensure the necessary internal approvals from management have been obtained. Review, draft, and negotiate a diverse range of corporate and transactional agreements and documents. Support or perform contract negotiations directly with customers and suppliers and support leadership during higher level negotiations. Coordinate contractual review with the appropriate cross-functional leadership in a variety of areas. Work on ad hoc legal projects, including, new policies, templates and processes, and other corporate legal and regulatory matters. As requested, manage and support resolution of disputes and litigation. Provide independent analysis of business/contract issues to support decision making. Support the performance of existing contracts by interpreting and ensuring compliance with contract provisions. Support legal operations with contract reporting, maintenance and document retention practices. In conjunction with the CFO, Board of Directors, Corporate Secretary, and senior management team, help direct SEC compliance, disclosure and reporting as well as NASDAQ compliance for our NASDAQ listed company. Establish and manage relationships with outside counsel and act on behalf of Farmer Brothers in both the defense and prosecution of lawsuits and identify opportunities to reduce outside legal spend. Oversee the trademarking and copywrite function for products and intellectual property. Provide support on matters related to corporate governance, litigation and secured transactions. Support the company's M&A activities. Responsible for the management and revision of contracts, including sales agreements, vendor agreements, confidentiality agreements, and real estate leases. Work in collaboration with the Human Resources team in the areas of labor management and employment practices. Provide legal advice on a variety of general corporate matters, including employment, product liability, cybersecurity and environmental, health and safety issues. May perform other duties as assigned.

Qualifications: Graduate from a reputable undergraduate and law school. Previous experience with legal practice in a corporate environment, broad experience in a variety of legal disciplines and sound business judgment. Record of sustained performance in supporting public company/ies with general corporate matters, regulatory compliance, commercial agreements, risk management and business policy issues. Experience in negotiating and documenting contracts with major customers and suppliers. Experience in labor and employment, securities, M&A, finance and cybersecurity are a plus. Previous law firm experience a plus.
