Senior Corporate Counsel Responsibilities: Working closely with business unit leadership and financial functions to execute transactions which advance their business strategies. Drafting and negotiating domestic and international business contracts, including vendor and customer service agreements, joint development agreements, strategic collaboration and licensing agreements. Guide deal structuring, manage deal process and outside counsel. Advise on selected M&A transactions, plan and manage legal due diligence, and draft and negotiate definitive agreements. Provide legal counsel on issues facing the Company. Builds effective relationships with corporate and business teams to bring about the timely and successful closure of transactions. Helps business units refine their business strategies in the context of potential acquisitions. Supports business units in successfully advocating for acquisitions to senior management through effective prose and presentation documents. Effectively and efficiently manages projects and transactional support of deals from initiation to close. Supports strategic planning process.

Qualifications: Law degree from an ABA-accredited law school, and membership in one or more state bars preferably Colorado. 10+ years experience, including 5 years as in-house advisor within a technology based industry. Experience navigating distributed organizational structure is desired. International experience a strong plus. Ability to independently identify needs, issues, risks, goals and solutions in a fast-paced and highly demanding environment. Business orientation to understand and advance business objectives. Ability to manage and prioritize multiple matters simultaneously and to respond to rapidly shifting priorities in ambiguous or challenging situations. Strong in commercial transactions, contract drafting and licensing but will also have a well-rounded set of legal skills and be able to assist the General Counsel in all areas of legal needs for the company. Vision, force of personality and leadership skills ensure management participation and buy-in including the ability to demonstrate confidence in making difficult decisions. Excellent communication skills, ability to liaise with all areas of the business at all levels. Demonstrated track record of successfully concluding negotiation of complex transactions. Ability to motivate a variety of individuals at all levels in the organization. Must be comfortable and adept at balancing risk and opportunity. Demonstrated formal and informal leadership experience, including influencing people without direct authority. Ability to thrive in a highly dynamic, time sensitive and collaborative environment. Excellent writing, presentation and communication skills.
