Legal Counsel - Corporate Duties: Handling various corporate transactional matters for the company's operations involving a variety of legal disciplines with emphasis on strategic contracting. Negotiate contracts involving all aspects of Corporate day to day operations and transactions. Develop additional form contracts and documents, as necessary, to facilitate strategic contracting. Conducting legal research and providing strategic legal advice. Researching and providing strategic legal advice concerning a broad range of questions and circumstances pertaining to Corporate matters which arise in the company's day-to-day business activities to ensure Associates are aware of, and in compliance with, applicable laws and regulations. Developing strategic policies/processes/materials and educational materials to minimize company legal exposure as well as educating/training senior management on legal risks and ramifications. Advising Associates as to legal ramifications of past and proposed actions and formulating solutions to existing problems in an advantageous manner. Maintain strategic relationships with business partners in order to anticipate and mitigate the impact of existing or developing laws on business. Identify potential legal issues associated with present and prospective business processes and initiatives. Anticipate and track evolving developments in the law impacting business. Draft policies, legal terms, checklists, disclosures and other documentation, as appropriate, to mitigate legal risks. Prepare and develop educational tools and internal processes to educate/assist management on legal issues relevant to their respective business areas.

Qualifications: JD Degree from accredited law school. Member of state bar or licensed by the state Bar. 4-6 years' experience in private practice and/or corporate legal department with preferable emphasis in retail or merchandising. Superior analytical ability, negotiation and writing skills. Strong verbal, written and interpersonal communication skills; ability to clearly translate legal concerns into lay terms and effectively communicate the legal conditions which affect business opportunities/operations and provide strategic alternatives to advance company pursuits. Strong ability to prioritize multiple projects while maintaining attention to detail. Preferred: Broad based knowledge on various legal issues involving corporate transactions, information technology, merchandising, finance, HR, credit, marketing, product development, product safety, logistics, facilities, and eCommerce.
