Sr. Director, Corporate Counsel

Sr. Director, Corporate Counsel The candidate will provides legal services related to corporate legal matters including, but not limited to, contracts, licensing, compliance programs, corporate governance matters, ESG initiatives, and securities matters. Support M&A transactions, strategic investments and other contractual matters to support the company's business, including coordination of legal strategy, negotiation, and due diligence. Transactional matters include acquisition agreements, collaboration agreements, investment agreements, licensing agreements, supply agreements, consulting agreements, and confidentiality and nondisclosure agreements. Collaborate with cross-functional teams on a variety of corporate matters. Be key legal resource and provide primary legal support to designated client groups, including proactively supporting the group's business initiatives and strategy. Coordinate with and manage external counsel as required. Reviews and/or negotiates contracts and licensing agreements. Prepares and updates matters related to the company's compliance/ethics training, document management and corporate governance programs. Perform special assignments or projects as necessary, and other duties and responsibilities as assigned.

The candidate should have Juris Doctor degree from accredited law school and admitted to a US state Bar in good standing. Strong academic background. Should have 10+ years of experience in corporate transactions, with significant experience in a life sciences company, and/or a large law firm with a focus on representing public life science companies, or a combination of both, preferably in an IVD or medical device industry. Experience conducting agreement review and drafting and negotiations, and independent oversight of major large scale corporate/cross-functional projects. Ability to independently identify, analyze and render clear, concise legal advice on complex issues, and understand the business impact of such advice. Excellent oral and written communication skills, strong organizational, analytical skills, including attention to detail and a problem-solving, strategic thinking mindset. Strong interpersonal skills, high level of emotional intelligence and judgement. Strong leadership, mentoring skills and ability to supervise and/or lead teams. Ability to meet multiple deadlines across a variety of projects/programs, with a high degree of accuracy and efficiency. Ability and desire to actively collaborate with and contribute to the efforts of legal team. Scientific background/understanding sufficient to quickly learn and assimilate company's technologies.
