Senior counsel, Corporate The candidate will be a key partner to the business, needing to understand the strategy and growth trajectory of the company and assisting the business with solutions to reach our collective goals. The Senior Counsel will need to be responsive and provide actionable legal advice to internal clients. Will work closely with the General Counsel, Finance Department, Marketing Department and executive team Chief of Staff on corporate governance and M&A. Drafting Board resolutions, Amending governing documents as needed, Overseeing the Corporate Governance Administrator on entity management, Conducting due diligence on acquisition targets, Drafting agreements related to M&A or corporate affiliations, Accountable- be someone the team can depend upon, 6+ years of law firm and/or in-house legal work experience focused on securities & corporate law. JD or LLM from a recognized U.S. law school and current license to practice in the United States (CA, CO, NY, or DE preferred). Open to remote locations. Working knowledge of US corporate, securities and financial laws with particular focus on corporate transactions, securities law compliance and corporate governance. Highly flexible, adaptable and willing to continuously shuffle priorities. Detail-oriented, excellent organizational skills and ability to manage multiple transactions and projects simultaneously under deadline pressure. Excellent oral, written and interpersonal communication skills. A strong team player who can work well with business colleagues in all functional groups. Prior in-house experience at a health care company is preferred but not required.
