Corporate Legal Counsel The candidate will be reporting to the CFO, the successful candidate will possess strong business acumen, a wide breadth of legal skills and a desire to understand and impact business growth through partnership with internal clients. The Corporate Counsel will be a corporate generalist position supporting the business teams on a variety of day-to-day legal matters, including contracts and contract negotiation, intellectual property, general corporate law, employment, immigration, corporate governance, and compliance matters. The ideal candidate must be a team player, a person willing to roll up one's sleeves to take on new challenges, and a person who enjoys practicing law. Provide legal advice to senior management on strategic matters and critical corporate initiatives, Provide collaborative counsel and coaching with various cross-functional teams on contract terms, negotiations, and transactional agreements, Manage contractual transactional matters, including legal drafting of commercial documents, non-disclosure agreements, memorandum of understanding, supplier, and vendor agreements, etc. Respond to and manage customer, supplier, and other third-party disputes and pre-litigation matters, Manage a wide variety of corporate law matters, including multiple outside firms, compliance with corporate laws and regulatory agencies, company risk assessment and mitigation, employment law and immigration, intellectual property, domestic and international data privacy, security and export controls, and general corporate policies, Serve as internal early warning system in identifying potential risks to the company and a proactive risk register with CFO, Prepare risk assessment and monitor compliance on all new programs and projects, Update, train, and enforce compliance procedures for export controls, data security, data privacy, government contracting, and FCPA related topics, Manage outside counsel and collaborate with cross-functional resources on the drafting, filing, and application of patents and trademarks worldwide, Serve as Secretary for the Company and manage board minutes and resolutions, Review documents relating to the Company's financial and SEC reporting obligations, Manage corporate documents and compliance with records management and retention policy, Manage legal firms, contractors, and related expenditures, Review Insurance and bond requirements recommendations with CEO and Finance, Provide support for M&A transactions, Minimum 7-10 years of experience and in-house experience with a public company desirable, JD degree from an American Bar Association accredited law school, Admitted in good standing to practice law in at least one state in the U.S., preferably Massachusetts, Demonstrated competency in drafting legal documents, contract terms, and legal memoranda, Effective written and oral communication skills are essential. This includes the ability to clearly present information, in writing and orally, and respond to questions from executives, managers, customers, and other employees with a focus on client service, Ability to communicate complex information and legal concepts to a broad range of clients, from staff employees to executive management, Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines, Adept at working in a fast-paced, high activity environment with smart and creative people, Ability to work independently with little to no supervision, High integrity and ethical standards.
