Senior Corporate Counsel, Healthcare Regulatory and Commercial Duties: Advise your business clients and legal colleagues on US healthcare regulatory laws, regulations, and enforcement activities, and apply your knowledge of these laws to provide actionable advice to senior management and product leadership. Provide healthcare regulatory counseling on contracts, including Business Associate Agreements, vendor contracts, and commercial contracts involving data licensing components and negotiations. Advise on healthcare regulatory and general legal matters impacting our consumer-facing diet, meal planning, and T2 Diabetes prevention offering. Draft, review, and negotiate a wide range of commercial contracts, including Master Services Agreements, advertising technology contracts, data agreements, and software and technology licenses. Establish processes for contract flow. Remain up-to-date on relevant consumer protection, healthcare regulatory laws and regulations, as well as technology developments, emerging threats, and industry standards. Routinely meet with your business clients and legal colleagues to identify potential healthcare regulatory legal risks and propose and implement solutions to address those risks. Work with the business teams to create templates and guidelines to allow teams to independently address common commercial needs. Conduct advertising and marketing law reviews and provide actionable feedback to your business clients. Assist with dispute resolutions, investigations, and litigation management. Create, update, and implement company policies. Remain up-to-date on relevant consumer protection, healthcare regulatory, privacy, and data security laws and regulations, as well as technology developments, emerging threats, and industry standards.

Qualifications: JD Degree from an ABA-accredited U.S. law school and member of the bar of a U.S. jurisdiction. Must have 5+ years of solid, consistent experience advising clients on U.S. healthcare regulatory laws and regulations (e.g., HIPAA, CMIA, Fraud and Abuse, applicable state laws). Highly desired for you to have experience with advising on legal and regulatory issues related to telehealth, insurance licensing and regulatory matters, Medicare, FDA guidance, consumer protection issues, and communicating with federal government, state governments, and professional boards. If you do not have these competencies, then you must be willing to prioritize developing these areas of subject matter expertise. Experience in health publishing or digital health businesses is a highly-desired plus. Experience drafting and negotiating a broad variety of commercial agreements, including: Advertising and marketing agreements (including agreements with advertising technology providers and exchanges). Content, data, and distribution arrangements across all media platforms and devices. Software/technology licensing and development agreements. IT Agreements. Sourcing, procurement, and vendor contracts. Ability to operate in a dynamic environment and navigate amid uncertainty with a can-do, problem-solving attitude is a must. Ability to identify common commercial needs among our business clients that are appropriate for self-service tools that you create to help the business move fast while also seamlessly operationalizing legal advice.
