Senior Corporate Counsel - Corporate and Securities, Compliance Responsibilities: Providing legal counsel on securities law compliance and SEC reporting, including in connection with the preparation of current and periodic reports, proxy statements, Section 16 filings, and other securities filings. Providing legal advice and counseling with respect to equity-based compensation plans, executive compensation matters and Section 16 reporting. Advising members of senior management and business functions on corporate governance, securities law and NYSE compliance matters. Advising investor relations, corporate communications, and corporate financial reporting functions on disclosure and securities matters, including in connection with press releases, investor presentations and management presentations. Assisting with various equity and debt financings and providing legal support to the Treasury function. Providing legal support to the Board of Directors and Board Committees on corporate governance matters. Assist in mergers, acquisitions, and other strategic transactions, including term sheets, due diligence, preparation of transaction agreements, and closing process. Assist in the development and oversight of the company's ethics and compliance program. Counseling on internal corporate governance and subsidiary matters, including parent and subsidiary corporate records, creation and dissolution of corporate entities, and corporate authority questions. Requirements: Bachelor's degree and JD degree and bar admission in at least one state (and eligible to register for California's in-house counsel program) 6+ years of experience gained in a nationally or regionally recognized law firm and/or in-house position. Experience serving in an in-house corporate secretary office of a public company is preferred. Significant experience advising on public company reporting matters, as well as corporate governance matters. Experience with M&A, corporate finance and ethics and compliance preferred. Excellent work ethic and high degree of professionalism, and a proven ability to work both independently and within a team. Outstanding verbal and written communication skills. Superior organization, decision making and problem-solving skills. Ability to multi-task and work in a fast paced, changing environment and to balance multiple, concurrent projects.
