Corporate Legal Counsel II Responsibilities: Draft, review, and negotiate a wide variety of complex commercial agreements to meet business and legal needs, including master good and services agreements. Manage a large volume and variety of transactions, negotiating standard and complex commercial agreements and balancing legal and business risks. Draft provisions and negotiate a variety of transactional matters. Assist in the management of contract documentation flow, approvals, and reporting consistent with internal processes. Investigate, manage, and propose resolutions to customer disputes and other conflicts. Conduct training of personnel on various legal and compliance topics. Provide legal and compliance support, as assigned. Perform legal research on a variety of legal areas including commercial, employment, and international issues. Attend and participate, as appropriate, in meetings and presentations. Carry out other duties and responsibilities as may be assigned or required.

Qualifications: Strong GPA and academic record. Active legal licensure in the United States. 5-7 years of experience at a law firm or in-house department. Experience with engineering, procurement, and construction projects. Experience drafting and negotiation complex commercial agreements, particularly in an industrial/heavy industry context. Knowledge of legal issues in complex business transactions. Experience counseling on applicable laws (including various state-specific rules and regulations) and risk mitigation strategies. Able to collaborate across functions and teams. Able to work as a team with attorneys and other colleagues, often in a remote setting. Demonstrate a courteous and professional demeanor. Superior written and oral communication skills. High ethical conduct and high integrity. Understanding of case law and regulatory analysis. Basic understanding of transactional law. Strong capacities legal research and legal writing.Well-developed organizational and fact-gathering skills. Advanced computer skills, including proficiency in Microsoft Office and online research. Able to multi-task and prioritize assignments to meet deadlines in a fast-paced work environment. Able and willing to work alternative schedules including weekend, and on-call hours as needed.
