Senior Corporate Counsel

Senior Corporate Counsel Responsibilities: Provide guidance and legal expertise related to business development activities, corporate financing transactions, corporate governance, and compliance regulations required of a public company. Draft, negotiate, and independently manage a high volume and wide variety of contracts independently and with minimal supervision, including confidentiality, master service, license, collaboration, consulting, and clinical trial agreements. Oversee and coordinate activities with outside counsel. Provide practical, business-oriented legal advice and recommendations to several business functions, including clinical, quality, regulatory, human resources, finance and others. Assist in the management of public disclosures and publications, including assistance with drafting and managing SEC filings. Build and drive a culture of compliance within the organization.

Requirements: JD Degree from a well-respected law school and a license to practice law in the State of California. 3-5 years of corporate legal experience at a biotech/pharmaceutical company or law firm, including SEC compliance and corporate governance. 3-5 years of experience in-house or at a law firm drafting and negotiating a broad range of contracts for biotechnology companies, including CTAs, MTAs, MSAs, CDAs, license agreements, collaboration agreements, manufacturing agreements, consulting agreements, and software licenses. Experience with public company SEC reporting. Familiarity with biotech/pharmaceutical business. Excellent written/verbal communication skills and strong analytical skills. Ability to work independently and apply sound business and legal judgement in assessing contract terms and other legal issues. Able to thrive at a fast-paced, rapidly growing public company. Collaborative and friendly personality, with a positive outlook and strong work ethic. Possess solid knowledge of intellectual property and privacy law. Meticulous attention to detail and a high degree of ethics and integrity.
