Senior Director and Associate General Counsel - SEC/Compliance Duties: Support a variety of securities, corporate governance, equity and executive compensation matters. Will be reporting directly to the General Counsel. Work for an exciting and innovative global company that is a market leader in the industry. Advise General Counsel and executive team on SEC requirements and corporate governance. Support corporate secretary function with respect to governance and Board. Prepare securities filings, proxy statements, press and earnings releases and investor relations presentations. Assist with capital markets transactions and associated legal documentation (e.g., offering documents and registration statements). Oversee securities law administration and compliance (e.g. equity incentive plan matters, securities trading policy administration, Regulation FD, transfer agent oversight and matters with respect to other securities laws and NASDAQ requirements); Draft corporate governance materials, including resolutions, minutes, and other materials for meetings of the board and its committees. Oversee domestic and international subsidiary governance. Provide counsel and advice regarding corporate governance requirements and best practices. Advise management and other internal clients regarding legal and business issues, including identifying, managing, and communicating risks and opportunities associated with specific agreements, approval processes, negotiation strategy, and business objectives and initiatives. Develop, manage and conduct training to internal clients on contract principles, negotiation of key terms, and general procedures at the company. Work on special assignments as needed; develop a close working relationship with senior managers; lead working teams containing members with diverse backgrounds and perspectives to achieve strategic goals of the business. Manage competing priorities in a fast-paced environment; set priorities for self and applicable team members.

Qualifications: JD Degree and active attorney license required. 8+ years of relevant experience with at least four years spent at an in-house legal department of a public company, preferably for a global organization. Deep knowledge of securities law for public companies. Familiarity with corporate governance best practices in public companies. Able to work effectively with directors, senior management, and other functional groups, on deadline. Demonstrated ability to build cross-functional relationships across the globe and capacity to work effectively in a matrixed organizational structure. Growth mindset, highly tuned emotional intelligence, and the ability to work in a diverse and inclusive environment. Initiative with ability to act decisively, work independently, and exercise excellent judgment. Preferred Education and Experience Requirements: 8+ years of experience as in-house counsel in a public company and/or as a law firm associate with demonstrated experience in public company corporate and securities law counseling and compliance. M&A experience is a plus. Top credentials and references. Public tech company background.
