Senior Corporate Counsel

Senior Corporate Counsel Responsibilities: Assist with the company's earnings releases and SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 reporting. Prepare board and committee meeting agendas and provide general board and committee support. Assist with the Company's ESG governance and ESG reporting initiatives. Provide practical, actionable advice and strategic support to executives and employees on a variety of corporate matters. Assist in overseeing equity plan administration, trading windows and employee education. Counsel on Nasdaq listing requirements. Work collaboratively with the finance, talent, and other cross-functional teams on a variety of matters. Review press releases and certain other strategic communications. Stay up-to-date on legal and regulatory developments, governance trends, general legal issues and best practices, assess impact on the company and recommend changes to programs or policies if advisable. Qualifications: JD from a with excellent academic credentials and membership in at least one state bar. Minimum of 4-7 years experience as an attorney, with law firm experience required and prior in-house legal experience is a plus. Must have significant experience advising on SEC rules, regulations and compliance. Be comfortable in a fast-paced environment and able to handle multiple matters simultaneously and to prioritize effectively. Evaluate issues from legal and business perspectives with a practical, business-oriented approach to problem solving. Strong project management skills. Ability to develop strong working relationships and to work across functions and teams. Excellent written, oral and negotiation communication skills.
