Corporate Counsel

Corporate Counsel Responsibilities: Assist with corporate matters generally, including public company reporting, corporate governance and compliance matters, and SEC filings (10-K, 10-Q, 8-K, proxy statements, Section 16 filings, etc.). Assist with preparations for annual stockholder meetings, including planning and logistics. Prepare minutes for board and committee meetings, and provide legal support and governance advice on matters relating to board and committee best practices. Manage projects relating to corporate organizational structure, including formation and maintenance of domestic and international subsidiaries and restructuring of corporate entities. Support major transactions, including M&A and strategic transactions. Support integration efforts following business acquisitions. Support the stock administration department on equity matters, benefit plans, and related matters. Coordinate with and efficiently manage external counsel. Opportunity to prepare and negotiate commercial contracts in support of internal procurement function. Assist in other matters as needed.

Requirements: JD Degree and bar admitted with 2+ years' relevant corporate work experience at a major law firm and/or in-house at a public company. Familiarity with Delaware corporate law, SEC, and Nasdaq rules and regulations; some experience with M&A is preferred. Can do, roll-up-your-sleeves attitude, and strong work ethic. Demonstrated organizational and project management skills. Strong written and verbal communications skills. Sound legal judgment, combined with a practical business mindset. Team player who welcomes responsibility and thrives in a fast-paced environment. Curious, flexible, adaptive, and eager to learn.
