Senior Corporate Counsel - Commercial Transactions Duties: Handle the drafting, review, negotiation, management, and dispute resolution of/for a variety of types of commercial contracts (buy-side and sell-side agreements), consistent with company policies and objectives. Advise leadership of associated risk/liability and devise strategies to minimize such risk. Enforce organizational contract policies and procedures. Review RFPs, RFIs, and RFQs to identify potential risks; draft exceptions to protect the company's interests and adapt the terms to the applicable services. Maintain deadlines on deliverables and communicate with internal and external clients about contractual issues. Maintain accurate and updated reports on contract status. Support sales team in finalizing legal negotiations with customers to meet sales targets. Responsible for creating knowledge management tools, efficiencies, developing & maintaining agreement guides, direct sales agreement templates, playbooks, internal negotiation resources, etc.. Establish, Hire, Train, Manage, Discipline, and/or Terminate (or make recommendations as to the same regarding) Commercial Transactions Team. Ultimate ownership of all NA/LATAM/APAC direct sales contracts, channel partner agreements, and procurement agreements. Handle escalations from Commercial Contracts Team regarding CSM, SMB, ENT, and Channel negotiations. Manage resources to ensure all commercial transactions are timely completed, taking the lead on various independent negotiations as necessary.

Qualifications: Bachelor's degree from an accredited 4-year college. JD Degree from an ABA accredited law school. Membership in a State Bar as an attorney; qualified to practice law as an in-house attorney in Florida. Good standing with the State Bar, including being current on individual state CLE requirements. 3-5+ years of attorney experience. Internship experience required for new attorneys. Strong verbal and written communications. Strong attention to detail. Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization. Strong negotiating skills with both legal and financial/commercial issues. Excellent time management and organization skills. Ability to establish and maintain strong relationships between the organization's business units. Ability to work both independently and as a team. Ability to work well under pressure. Ability to handle high volumes of work at a fast pace. Preferred Experience: Experience working in-house. Experience in negotiating commercial contracts. Knowledgeable in industries of technology/cybersecurity. Experience with compliance and data privacy. Experience with international negotiation.
