Senior Counsel, Us Corporate & Securities Attorney

Senior Counsel, US Corporate & Securities Attorney The candidate will advise on a full range of US corporate and securities matters, corporate subsidiary and some M&A matters. will include extensive knowledge of US company regulations, corporate secretary and governance matters, subsidiary and legal entity management, and transactional support. This role requires a highly proficient knowledge of SEC and Nasdaq rules, as well as state corporate law. Additional areas of responsibility will include support on environmental, social and governance matters and disclosures, will also provide support to the GC on all board and secretarial matters as well as supporting investor relations. You will also be responsible for advising on the company's capital structure including employee share plans and other securities matters. Manage outside counsel Work effectively across business units and corporate functions to resolve complex business and risk management issues, Present information to executives and the Board of Directors, Lead outside counsel relationships as necessary, JD/law degree and bar admission in at least one state or jurisdiction, 5+ years relevant experience, Experience in working for or advising international businesses on multi-jurisdictional matters and comfort working across different legal jurisdictions, Proven high-performing legal experience, Ability to work well under pressure with diligence, organization, and minimal supervision, and provide practical, business-friendly advice to clients, Strong analytical and strategic skills; ability to drive issues to a quick resolution that factors in many non-legal variables, such as brand-risk, communications, government relations, tax, insurance, finance and other business units, High degree of professional ethics and integrity, Ability to anticipate legal issues or risks and to build the processes and systems to prevent them from occurring.
