VP - Assistant General Counsel - Corporate

VP - Assistant General Counsel - Corporate The candidate will support the Bank across a broad range of corporate and transactional matters, including supporting the Biz Dev team, negotiating and drafting program agreements with strategic partners to support some of the most innovative financial products in the market, and working with the ABL team on a variety of creative credit facilities. Partner with the Bank's EVP/General Counsel to effectively manage and drive the Bank's corporate and transactional work. Collaborate with and support Finance, Business Development, Due Diligence & Implementation, Strategic Partner Oversight, and the ABL team to achieve business goals while mitigating risks. Provide advice and counsel to teammates across the organization; the ideal candidate not only provides well-developed, actionable legal advice, but also acts as a business advisor based on developing a deep understanding of the Bank's business, strategy, and regulatory environment. Provide exceptional contract analysis and negotiating and drafting support across the lifecycle of strategic partners: from NDAs and term sheets for prospective partners, with the BizDev team; to program agreements for new partners, with the DD&I team; to program agreement amendments and extensions for partners expanding their programs with the Bank, with the Strategic Partner Oversight team. Partner with BizDev and the ABL team to craft creative asset-backed facilities for strategic partners, credit funds, and other lenders based on specialty finance assets. Review, negotiate and advise teammates on a wide range of commercial contracts, including agreements with third-party asset purchasers, credit bureaus, payment processors, and vendors. Oversee and manage the Bank's contract management process as well as processes for efficient legal review/approval and documentation of the same. Assist with corporate governance, the administration and documentation of Board and stockholder meetings and actions, as well as matters unique to Utah-chartered industrial banks. The candidate should have a J.D. degree and a member of one State Bar in good standing with the ability to become a Utah registered House Counsel. Must have 10+ years of relevant legal experience (big-law training preferred), including 3+ years of in-house experience. Should have broad corporate and transactional experience, including handling a wide range of corporate law matters, corporate finance transactions, and complex commercial agreements. Experience with FinTechs and/or consumer finance products and regulations would be a plus. Should preferably have a strong grasp of corporate and contract law, negotiating and drafting complex commercial agreements, corporate finance transactions including asset-backed lending, and experience in the FinTech industry or financial services, more generally.
