Associate Corporate Counsel

Associate Corporate Counsel The candidate will serve as legal counsel for company and its subsidiaries on a global basis. Responsible for the legal aspects of all activities conducted by the company including government relationships, contracts, corporate organization, acquisition and sale of property, and other areas of business. Advise on legal issues concerning compliance, manufacturing, transportation, intellectual property, employment, acquisitions, government contracts, benefits, public utility contracts, and relations with subsidiaries. Draft, review, and negotiate contracts in all types of transactions. Provide counsel in issues related to employment, compliance, intellectual property, benefits, immigration, and other legal matters of concern to the company. Provide due diligence and integration support in connection with mergers, acquisitions, and divestitures. Assist in the development, implementation, and maintenance of confidential information and proprietary information processes. Manage the use of outside legal counsel as necessary to provide support for this responsibility. Conduct internal investigations as needed by the company. Manage litigation and other matters in dispute. Provide general support as requested by General Counsel, Senior General Counsel, and Chief Ethics and Compliance Officer. Must have a Bachelor's degree, Juris Doctorate degree, and be admitted to practice in the State of New York. Should have 3-7 years of experience in a law firm or relevant corporate environment. Must have experience in Merger/acquisition/divestitures and Corporate/contracts/negotiation experience. Global / International experience is strongly preferred. Must have the proven ability to be a team player, excellent oral and written advocacy skills, willingness to develop regulatory/compliance skills and competencies, ability to remain poised under pressure.
