Government Contracts, Associate General Counsel Responsibilities: Partner with business and corporate leadership to review and assess strategic transactions from a government contracts perspective, with a particular focus on the review and assessment of potential acquisitions, equity investments, divestitures, joint ventures, and similar opportunities in the federal space. Collaborate with business leadership, Legal Department leaders, and internal business partners and serve as an essential advisor in supporting, advancing, and enhancing the firm's processes and structures for such strategic transactions. Serve as the primary point of contact for such transactions across a team of government contracts attorneys, coordinating closely with the market-aligned Associate General Counsels. Coordinate closely with internal legal and business stakeholders as well as external legal counsel to manage legal, ethics, and compliance due diligence related to potential transactions. Leverage a strong foundational knowledge of the full lifecycle of the government contracts processes and associated compliance obligations to provide sound legal and business advice in support of post-merger integration. Support preparation, review, and negotiation of transaction documentation from a government contracts perspective. Provide government contracts and compliance-focused legal advice and counsel to business leaders and internal business partners and work closely with functional teams across the corporate infrastructure to provide necessary guidance and input on joint risk assessments in support of broader functional diligence reviews.

Basic Qualifications: J.D. Degree. Member in good standing of any U.S. State Bar. 8+ years of experience with government contracts law, including FAR, DFARS, federal procurement statutes and regulations, small business regulations, in a law firm or corporate legal department. Experience in conducting M&A due diligence of government contractors and supporting corporate transactions. Experience with supporting novation processes. Experience with advising on and implementing compliance structures as part of post-merger integration. Experience in advising professional services companies, including commercial or government industry. Experience with drafting and negotiating government contracts-related representations and warranties as part of corporate transactions. Ability to provide practical and pragmatic advice to legal and business colleagues. Ability to obtain a security clearance. Preferred Qualifications: Experience in advising on and conversant with IT, cybersecurity, data security, incident response, and other highly technical concepts and associated regulatory and contractual requirements. Experience with supporting novation processes on both the buy and sell-side. Ability to show superior legal and analytical expertise and a business-oriented approach to problem-solving. Ability to work under pressure, prioritize and manage the workload and simultaneous tasks, and meet very tight deadlines in a changing, fast-paced environment. Excellent organizational, interpersonal, client relations, and team skills. Excellent oral and written communication skills.
