Senior Investment and Finance Attorney Duties: Provides advice and counsel on legal aspects relation to Mutual of Omaha Companies general account investment portfolio. Current investments and future opportunities include, but are not limited to, corporate bonds and loans, private placement debt, structured finance, private equity, residential mortgage loans, commercial real estate loans and equity, derivatives, and other alternative asset classes. Interacts with key stakeholders such as senior management within Investments and the Enterprise, the Board of Directors, and Regulators as needed in connection with matters affecting general account investments. Prepares and negotiates investment documentation for capital markets related transactions for both securities offerings by the Enterprise and participation in transactions for the general account investment portfolio. Oversees, negotiates, and advises with respect to investment management relationships with third-party asset managers, reinsurance counterparties, service providers, and other financial services firms. Monitors investment-related local, state, and national developments in the life insurance industry and with respect to securities regulation and the capital markets, more generally. Advises the Investment department on such matters as it relates to their current holdings and prospective future investments. Maintains a board network of professional relationships with peers throughout the investment and legal communities to provide insights into the evolution of document terms, financial covenants, and structures for investments in the capital markets. Coordinates with outside legal counsel to review and approve case and project budgets, counsel fees and expenses. Determines cost effectiveness of outside legal counsel. Contributes to the achievement of business objectives by developing close professional relationships with personnel of all levels, by providing legal counsel, knowledge, skills and decision making in support of tactical and strategic business initiatives. Supports M&A activity with respect to investment management matters.

Qualifications: Law Degree with ability to practice in the state of Nebraska. Extensive experience with legal matters from an administrative, contractual, statutory and regulatory standpoint. Recognized in one or more areas of practice as a leader and tenured subject matter expert with highly developed specialties and demonstrated client relationships. Excellent strategic planning and leadership skills. Excellent analytical, problem solving and excellent judgement/decision making skills. Excellent management, human relations, negotiation and written and verbal communication skills. Excellent organizational skills and the ability to manage multiple projects and competing priorities. Familiarity with computer applications. Valuable experience: Investments product expertise across corporate debt, structured finance, private equity, bank loans, and /or derivatives. Expertise in capital markets transactions including drafting organizational and offering documents. Experience overseeing third party asset managers and relationships. Experience representing creditors through corporate restructuring process or issuer event of default. Familiarity with insurance investments regulations. Familiarity with identifying tax issues preferred. Strong working knowledge of the insurance industry and related legal issues. Strong understanding of the Companies ? business operations and sales philosophy, including familiarity with all products of the Company. Application Closes: Closes Aug 7, 2021
