Corporate Counsel, RaaS/Commercial Transactions Duties: Lead legal negotiations for all transactions and partner with the sales team to close transactions in a timely and efficient manner. Create and implement a scalable legal process. Use experience gained from supporting hundreds or thousands of commercial transactions to help define business terms and structure deals in the most optimal way. Provide thoughtful and practical business and legal advice to drive development of relationships with business partners and strategic retail customers. Represent thredUP in external meetings and negotiations alongside the sales team. Identify and explain agreement terms and associated risks to business stakeholders and interpret contract requirements, obligations and risk assessment or exposure and advise accordingly. Draft and review a variety of complex commercial agreements, including SaaS, operational agreements, and master services agreements. Stay up-to-date on relevant industry, commercial and other laws, regulations, and developments to be able to give the most effective advice. Qualifications: JD Degree from a top-tier law school. Active membership in good standing in at least one state Bar. 3+ years of experience as an attorney at a major law firm. A strong negotiator who can partner with the RaaS sales team to lead the transactional process end-to-end, provide practical, timely, and solution oriented advice, and efficiently bring deals to a favorable close. Excellent business judgment and the ability to weigh legal risk with the business potential and priorities. Someone who understands the why behind a contractual provision and can effectively explain that position to both internal business teams and counter-parties. A team player who knows how to get things done. In-house counsel experience at a high-growth global technology company, including prior sales and business operations experience. A proven track record of accountability, attention to detail, and organization in a fast-paced environment.
